1. Introduction

C&V Dynamics Inc. ("C&V Dynamics", "we", "us") operates the website at www.cvdynamics.com.ph. This Privacy Policy explains what personal information we collect through the website, why we collect it, how we protect it, and the choices and rights you have.

We handle personal information in line with the Data Privacy Act of 2012 (Republic Act No. 10173), its Implementing Rules and Regulations, and the principles of transparency, legitimate purpose and proportionality: we tell you what we collect and why, use it only for the purposes described here, and collect only what we need.

2. Information We Collect

We collect personal information only when you send us an inquiry through one of the website's two forms.

  • Contact form (Contact page):
    • Your full name, email address and phone number (required).
    • Your company name (optional).
    • The type of inquiry (a quote, a rental, a software demo, support or something else) and your message (required).
    • The product you are interested in (optional).
    • Your agreement to be contacted about your inquiry, and the time you gave it.
  • Rental request form (Rentals page):
    • Your full name, email address and phone number (required).
    • Your company name (optional).
    • The device, quantity, and rental start and end dates (required).
    • Any notes you add (optional).

When you submit either form, we also record the date and time of the submission, a code generated from your device's IP address (a keyed hash, used to limit repeated submissions; we do not store the IP address itself), and a code generated from the contents of your submission (used to recognise an accidental duplicate).

We do not ask for sensitive personal information, such as information about your health, religion, government-issued identification numbers or financial accounts. Please do not include it in your message.

3. How We Collect Information

  • Directly from you, when you fill in and submit a form.
  • Automatically, when you submit a form: the submission time and the codes described above are created by our server.
  • Server logs: like most websites, our hosting provider, Google (Firebase App Hosting), may automatically record technical information about visits, such as IP address, browser type and the pages requested, to operate and secure its service.

We do not buy personal information or collect it about you from other sources through this website.

4. Purpose of Processing

We use the information you send us to:

  • Reply to your inquiry, including preparing quotations, arranging rentals and software demonstrations, and providing support.
  • Follow up with you about the same inquiry.
  • Keep a record of inquiries we have received and how we handled them.
  • Protect the website and its forms against spam and abuse, for example by limiting repeated submissions.

We do not use it for marketing, sell it, or use it to make automated decisions about you.

6. Cookies and Similar Technologies

This website does not use cookies or similar technologies for analytics, advertising or tracking, and it does not need cookies to work. It uses no third-party analytics or tracking tools, and its fonts are served from our own website rather than from a third party.

7. Disclosure and Sharing of Information

We do not sell or rent your personal information. We share it only with:

  • Service providers that run the website for us: Supabase, Inc., which provides the database where inquiries are stored, and our hosting provider, Google (Firebase App Hosting), which runs the website and its forms. They process the information only to provide their services to us.
  • Authorities, when the law, a court order or a lawful request from a government agency requires it, or when needed to establish, exercise or defend legal claims.

8. Data Storage and Security

Inquiries are stored in a database provided by Supabase. Supabase stores it in its Southeast Asia (Singapore) data centre, which is outside the Philippines.

We use organisational, physical and technical measures to protect personal information, including:

  • Form submissions are checked on our server before they are stored, and the database rejects records that do not meet its rules.
  • The database is not accessible from the public website. Only our server, using a private key that is never sent to visitors' browsers, can add inquiries.
  • Only authorised personnel with access to our database account can view or manage inquiries.
  • Repeated submissions are limited to reduce spam and abuse.

No method of transmission or storage is completely secure, so we cannot guarantee absolute security. If a personal data breach occurs that the law requires us to report, we will notify the National Privacy Commission and the affected individuals as required.

9. Data Retention

We keep inquiries for 3 years, unless a law requires us to keep them longer. After that, we delete them or make them anonymous.

10. Your Rights

Under the Data Privacy Act, and subject to its conditions and exceptions, you have the right to:

  • Be informed whether and how your personal information is being processed.
  • Access the personal information we hold about you.
  • Object to processing, including withdrawing consent where we rely on it.
  • Correct information that is inaccurate or incomplete.
  • Have your information erased or blocked where it is incomplete, outdated, false, unlawfully obtained, no longer necessary, or processed without authority.
  • Data portability: obtain a copy of your information in an electronic and commonly used format.
  • Claim damages for harm caused by inaccurate, incomplete, outdated, false, unlawfully obtained or unauthorised use of your personal information.
  • File a complaint with the National Privacy Commission(opens in new tab).

11. How to Exercise Your Rights

To make a request, email sales@cvdynamics.com.ph with the subject "Privacy request", and tell us which right you wish to exercise and the inquiry it concerns (for example, the email address you used). We may ask you to confirm your identity before acting on a request, and we will respond within a reasonable time.

12. Third-Party Websites and Services

The website links to other websites, including our Facebook and LinkedIn pages and the website of our sister company, GVT Enterprises Inc. Those websites are run by others and have their own privacy policies; this policy does not apply to them. We encourage you to read their policies before giving them any information.

13. Changes to This Privacy Policy

We may update this policy when our practices or the law change. We will publish the updated policy on this page and change the "Last updated" date above.

Terms and Conditions

1. Subscription & Ownership of Software

  • Non-Exclusive License: Upon payment of the applicable subscription fees, the Company grants the Client a non-exclusive, non-transferable, and revocable license to access and use the subscribed software modules (C-Dyna POS, Tasset.IA, GISO, and/or Vektor Fleet).
  • No Software Ownership: The Client acknowledges that this is a Software as a Service (SaaS) arrangement. The Client is subscribing to access the software only and acquires no ownership rights, title, or intellectual property rights in or to the software, source code, updates, or associated documentation.

2. Onboarding & Implementation Fee

  • Applicability: The Client agrees to pay a mandatory, one-time Onboarding Fee covering system configuration, software setup, database initialization, hardware staging, and initial staff training for both SaaS software and physical hardware integration.
  • Non-Refundable Condition: The Onboarding Fee is one-time and strictly non-refundable under any circumstances once deployment, configuration, or training activities have commenced, regardless of subsequent subscription cancellations or early contract termination.
  • Payment Terms: The Onboarding Fee must be paid in full prior to system deployment, User Acceptance Testing (UAT), or release of any hardware units.

3. User Acceptance & System Functionality

  • User Acceptance Criteria (UAC): Prior to signing this Agreement or initiating live deployment, the Client shall be provided an opportunity to test and evaluate the subscribed software modules and integrated hardware.
  • Acknowledgment of Functionality: By signing this Agreement, executing a Service Order, or going live with the system, the Client confirms that:
    1. The software and hardware have undergone user acceptance testing and met the Client’s requirements.
    2. The system was fully functional, operational, and operating without critical bugs or defects at the time of sign-off.
  • Post-Sign-Off Changes: Any requests for customized features, major system configuration changes, or scope alterations submitted after sign-off shall be handled as separate change requests and may incur additional service charges.

4. Hardware Terms, Subscriptions & Lock-in Period

If the Client acquires hardware devices (e.g., mobile barcode scanners, POS terminals and equipment, fleet tracking units) bundled with or integrated into the subscription:

  • Hardware Ownership & Lock-In: Hardware supplied under a monthly subscription plan remains the exclusive property of the Company during the 24 months Lock-in Period. Ownership of the hardware will only transfer to the Client upon full completion of the Lock-in Period and payment of all associated fees, unless explicitly designated as rented/leased throughout.
  • Early Termination: Early cancellation of the service prior to the expiration of the Lock-in Period will render all remaining hardware and subscription fees immediately due and payable.
  • Damage Handling & Repair Costs:
    • The Client is responsible for maintaining the hardware in good working condition, subject to normal wear and tear.
    • In the event of physical damage, liquid exposure, unauthorized tampering, or loss, the Client shall bear the full cost of repair or device replacement evaluated at current market rates.
    • Repairs must be performed exclusively by the Company or its authorized service center.

5. Payment Terms, Billing, & Approved Payment Methods

  • Payment Schedule: Subscription and hardware fees are billed on a Monthly basis and are due within 7 calendar days from the invoice date.
  • Accepted Payment Methods: Payments must be made via the following approved channels:
    • Direct Bank Transfer / Wire Transfer
      • Bank Name: Security Bank
      • Account Name: GVT Enterprises Inc.
      • Account no.: 0000072718968
    • Official E-Wallets / Online Payment Portals
      • See details at Subscription Center on the System
    • Corporate Post-Dated Checks (PDCs)
  • Billing Responsibility: The Client is responsible for providing accurate billing contact information and ensuring invoices are settled on or before the due date.

6. Default in Payment, Suspension, & Reactivation

  • Right to Suspend: If the Client fails to settle outstanding payables by the due date, the Company reserves the strict right to temporarily suspend or restrict access to any or all subscribed software modules and services without prior liability.
  • Data Access During Suspension: Suspension may block offline synchronization, real-time fleet tracking, and transaction logging until the account is brought to good standing.
  • Reactivation Policy: Suspended accounts will only be reactivated once full payment (including any applicable late fees) has been successfully posted and verified on the Company’s end. Processing times for bank posting may apply.

7. After-Sales Support & Maintenance

  • Support Scope: The Company shall provide ongoing technical support for software maintenance, bug fixes, standard system updates, and basic troubleshooting for the duration of an active subscription.
  • Support Channels & Hours: Support is accessible via software ticketing system during standard operating hours Monday to Friday, 9:30 AM – 5:00 PM.
  • Response Times & Critical Issues: Technical support issues will be categorized by severity level. Response and resolution times are subject to standard Helpdesk SLAs.
  • Exclusions from Standard Support: Standard support does not cover issues resulting from:
    1. Unauthorized modifications or third-party software integrations executed by the Client.
    2. Operating system corruption or hardware damage caused by misuse.
    3. Network or local internet connection failures on the Client’s premises.

8. Force Majeure

  • Neither party shall be held liable or deemed in default for any failure or delay in fulfilling its performance obligations (excluding payment obligations) under this Agreement if such failure or delay arises from causes beyond its reasonable control.
  • Events of Force Majeure include, but are not limited to: acts of God, extreme weather events, earthquakes, floods, fires, public health emergencies, severe government-mandated lockdowns, cyberattacks/unforeseen major telecommunications outages, riots, wars, or acts of terrorism.
  • In the event of a Force Majeure occurrence:
    1. The affected party must notify the other party within 3 business days.
    2. Performance timelines shall be extended for a period equal to the duration of the disruption.
    3. If the event continues for more than 30 consecutive days, either party may terminate the affected service contract upon written notice without penalty.

9. Service Levels & Offline Functionality

  • Offline Operations: For modules featuring offline functionality (such as Offline Inventory or POS), data generated offline will store locally on the device and sync to the cloud once an active internet connection is re-established.
  • Data Integrity: The Client is responsible for ensuring hardware devices carrying offline databases are secured and periodically connected to the internet to prevent data synchronization delays.

10. Client Acknowledgment & Acceptance

By signing below, executing a Service Order, or accessing/using the Services, the Client confirms that:

  1. They have read, understood, and agreed to all the terms, conditions, and operational policies set forth in this document.
